Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of Localingo’s website, products, and services (the “Services”). By accessing or using the Services, you agree to these Terms.
If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” includes that organisation.
1. Definitions
- “Localingo”, “we”, “us”, “our” means Opflow ltd.
- “Customer” or “you” means the person or entity using the Services.
- “Customer Data” means data, content, or information submitted to the Services by or on behalf of the Customer.
- “Output” means results generated by the Services based on Customer Data or Customer prompts.
2. Eligibility and account responsibilities
You must be able to form a legally binding contract to use the Services. You are responsible for:
- maintaining the confidentiality of your account credentials;
- activities that occur under your account; and
- ensuring information you provide is accurate and kept up to date.
3. Use of the Services and lawful conduct
You must use the Services in compliance with all applicable laws and regulations. You must not use the Services to:
- break the law or facilitate illegal activity;
- infringe intellectual property or privacy rights;
- transmit malware or attempt to disrupt the Services;
- access or probe systems without authorisation.
We may suspend or terminate access if we reasonably believe you are using the Services unlawfully or in a way that risks harm to the Services, other users, or third parties.
4. Subscriptions, billing, cancellation, and refunds
4.1 Subscriptions and billing
Paid plans are billed in advance on a recurring basis (e.g., monthly or annually), as described at purchase. Taxes may apply.
4.2 Cancellation policy
You may cancel your subscription at any time. If you have paid, cancellation takes effect from the start of the next billing cycle. You will retain access until the end of the current paid period unless your access is suspended or terminated under these Terms.
4.3 Refunds
Purchases are non-refundable once made. This includes subscription fees and any other charges, except where a refund is required by applicable law.
5. Customer Data and licence to process
5.1 Your ownership
As between you and Localingo, you retain all rights you have in Customer Data.
5.2 Permission to process for your benefit
You grant Localingo a worldwide, non-exclusive licence to host, store, reproduce, transmit, and otherwise process Customer Data only as necessary to provide, maintain, secure, and improve the Services and to fulfil our contractual obligations to you. This includes processing Customer Data to generate Output.
5.3 Your responsibilities for Customer Data
You represent and warrant that:
- you have all rights, permissions, and lawful bases needed to provide Customer Data to Localingo; and
- Customer Data and your use of the Services do not violate applicable laws or third-party rights.
6. Analytics, service improvement, and anonymised information
We collect and use information about how the Services are used for:
- analysis and diagnostics, including performance monitoring and troubleshooting;
- improving customer service, including responding more effectively to support requests;
- enhancing the Services, including service quality, accuracy, safety, and reliability.
Where practicable, we also collect and use anonymised or aggregated information (which does not identify you or individuals) to enhance service quality and improve accuracy and safety.
7. Output, verification, and customer responsibility
The Services may produce Output that is incorrect, incomplete, or unsuitable for your specific use case. You are responsible for:
- reviewing and verifying Output before using it;
- ensuring your use of Output complies with applicable laws and any professional obligations; and
- not relying on the Services as a substitute for professional advice (legal, medical, financial, or otherwise).
8. Intellectual property
8.1 Our IP
The Services, including software, models, workflows, design, and all related intellectual property, are owned by or licensed to Localingo. Except for the limited rights expressly granted in these Terms, no rights are granted to you.
8.2 Feedback
If you provide suggestions, ideas, or feedback, you grant Localingo the right to use them without restriction or compensation.
9. Acceptable use and rate limits
We may implement limits (e.g., usage caps, rate limits, or fair-use controls) to protect the Services. You must not circumvent or attempt to circumvent these controls.
10. Suspension and termination
We may suspend or terminate your access to the Services:
- if you breach these Terms;
- if we reasonably believe your use poses security, legal, or operational risk; or
- if required by law.
You may stop using the Services at any time. Sections that by their nature should survive termination will survive (including sections on IP, disclaimers, liability limits, and dispute terms).
11. Disclaimer of warranties
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Localingo disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or that Output will be accurate or suitable for any particular purpose.
12. Limitation of liability
To the maximum extent permitted by law:
- Localingo will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, or business interruption.
- Localingo’s total liability arising out of or relating to the Services will not exceed the amounts you paid to Localingo for the Services in the 3 months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot be limited under applicable law (for example, liability for death or personal injury caused by negligence, or fraud).
13. Indemnity
You will indemnify and hold harmless Localingo from and against claims, damages, losses, and expenses (including reasonable legal fees) arising from:
- your Customer Data;
- your use of the Services (including Output); or
- your breach of these Terms or violation of applicable law.
14. Changes to the Services or Terms
We may update the Services and these Terms from time to time. We will post the updated Terms and update the “Last updated” date. If changes are material, we will provide additional notice where required.
Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
15. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction, except where applicable law requires otherwise.
